User Generated Content Policy

These terms and conditions (“Terms”) apply to any text, pictures, images, graphics, audio, video, data, information, or any other user-generated content (“UGC”) directly shared with us or posted, uploaded, or shared on a third-party website or platform (including, but not limited to, social media websites like Instagram, Threads, Facebook, X, TikTok, etc.) that Best Western International, Inc. (“BWI,” “we,” “us”, or “our”) use on our websites, social media accounts, blogs, newsletters, mobile applications, emails, or any other digital marketing channels (“BWI Media”). By responding to a request from our social media team with #YesBestWestern or other indication of your approval, you agree to these Terms.

You hereby grant to us and our agents, subsidiaries, affiliates, designees, and third party service providers (collectively, “Affiliates”) and each of their respective officers, directors, employees, agents, assigns, licensees, and successors, a non-exclusive, irrevocable, worldwide, royalty-free right and license to exhibit, display, reproduce, distribute, adapt, modify, prepare derivative works from, incorporate other into other works, and otherwise use your UGC, in perpetuity, on the BWI Media. We, and our Affiliates, reserve the right to remove any UGC from the BWI Media, and we are not obligated to use the UGC. You agree that you will not be paid for our use of the UGC and that you may be tagged on social media posts or receive other credit or acknowledgement for the UGC.

Further, you represent and warrant to us that:

• You are eighteen (18) years of age or older.
• You own or control all rights in and to the UGC and have the right to grant a license to us.
• The UGC does not contain material that is pornographic, defamatory, libelous, biased, discriminatory, abusive, violent, harassing or otherwise offensive or objectionable.
• You have consent to use the name, likeness, and image of any person depicted in the UGC. In the case of any minors depicted, you are the parent or legal guardian of the minor(s).
• You will provide proof of consent upon request by us.
• The UGC, and our and our Affiliates’ use of the UGC, will not violate or infringe the rights of any third party or any applicable laws, rules, or regulations, including, without limitation, intellectual property rights, right of publicity, consumer protection, privacy, and trade laws.
• The UGC does not contain any worms, viruses or other harmful code or files.

You agree to indemnify, hold harmless, defend and release BWI and Affiliates, along with their respective officers, directors, employees, agents, assigns, licensees and successors (collectively, the "Indemnified Parties") from and against any and all damages, liability, claims, actions, demands, causes of action, and costs arising out of any breach of these Terms and from and against all claims or demands that you, your heirs, representatives, executors, administrators, or any other persons acting on your behalf may have, whether now or in the future, relating to the use of the UGC. BWI and our Affiliates are not responsible or liable to any third party for the content or accuracy of any UGC submitted or posted.
